These Terms and Conditions explain the rules that apply when you access or use Kepo, including the Kepo website, mobile application, and any related service, feature, or communication that links to these terms (collectively, the "Services").
Kepo is provided by Nansha Digital ("Company," "we," "us," or "our"). By using the Services, you confirm that you have read, understood, and agreed to these Terms and Conditions. If you do not agree, you must stop using the Services immediately.

1. Agreement to Terms
These Terms and Conditions form a legally binding agreement between you, whether acting personally or on behalf of an organization, and Nansha Digital regarding your use of Kepo.
Additional terms, policies, or notices may be posted within the Services from time to time. Those additional documents are incorporated into these terms by reference. We may update these Terms and Conditions at our discretion. When we do, we will change the "Last updated" date above. Your continued use of the Services after an update means you accept the revised terms.
The Services are not intended for distribution or use in any jurisdiction where doing so would violate law or require us to register in that jurisdiction. If you access the Services from outside the place where they are offered, you are responsible for complying with all local laws that apply to you.
The Services are not designed to comply with industry-specific regulatory regimes such as HIPAA, FISMA, or similar frameworks. You may not use the Services if your use would be subject to those requirements. You also may not use the Services in a way that would violate the Gramm-Leach-Bliley Act or any similar applicable law.
The Services are intended for users who are at least 13 years old. If you are a minor in your place of residence, you may use the Services only with permission from, and supervision by, a parent or legal guardian. If you are a minor, your parent or guardian must review and agree to these terms before you use the Services.
2. Intellectual Property Rights
Unless otherwise stated, the Services, including their source code, databases, functionality, software, designs, text, images, audio, video, graphics, trademarks, logos, service marks, and other materials, are owned by us, controlled by us, or licensed to us.
These materials are protected by copyright, trademark, intellectual property, unfair competition, and related laws in the United States and other jurisdictions. They are provided through the Services for your personal, non-commercial use only.
Except where these terms expressly allow it, you may not copy, reproduce, collect, republish, upload, post, publicly display, encode, translate, transmit, distribute, sell, license, or commercially exploit any part of the Services or any content within them without our prior written permission.
If you are eligible to use the Services, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for personal, non-commercial purposes. You may download or print portions of content that you are permitted to access solely for your own personal use. All rights not expressly granted to you remain reserved by us.
3. User Representations
By using the Services, you represent and warrant that:
- you have the legal capacity to enter into these terms and will comply with them;
- you are at least 13 years old;
- if you are a minor where you live, you have permission from a parent or guardian to use the Services;
- you will not access the Services through bots, scripts, or other automated or non-human means;
- you will not use the Services for any unlawful or unauthorized purpose;
- your use of the Services will comply with all laws and regulations that apply to you.
If any information you provide is false, inaccurate, outdated, or incomplete, we may suspend or terminate your account and refuse current or future access to all or part of the Services.
4. Prohibited Activities
You may use the Services only for the purposes for which we make them available. You may not use the Services for commercial activity unless we have specifically approved or endorsed that activity.
You agree not to:
- systematically collect data or content from the Services to build or compile a database, directory, collection, or similar resource without our written permission;
- trick, defraud, mislead, or attempt to obtain sensitive account information from us or other users;
- bypass, disable, or interfere with security features or usage restrictions in the Services;
- damage, disparage, or otherwise harm us, the Services, or our reputation;
- use information from the Services to harass, abuse, threaten, or harm another person;
- misuse support channels or submit false reports of abuse or misconduct;
- use the Services in a way that violates any applicable law or regulation;
- frame or link to the Services in an unauthorized way;
- upload, transmit, or attempt to transmit viruses, Trojan horses, spam, repeated messages, disruptive code, or any material that interferes with the Services or another user's experience;
- use scripts, bots, scrapers, data mining tools, robots, offline readers, or other automated systems to access or extract from the Services except through standard search engine or browser use;
- remove copyright notices, trademark notices, or other proprietary markings from any content;
- impersonate another person or use another user's identity or username;
- upload or transmit spyware, tracking pixels, web bugs, cookies, or other passive or active information-collection mechanisms without authorization;
- interfere with, disrupt, overload, or place an unreasonable burden on the Services or connected networks;
- harass, intimidate, threaten, or annoy our employees, agents, partners, or support personnel;
- bypass measures designed to restrict or prevent access to the Services or any part of them;
- copy or adapt the Services' software or code, including Swift, Objective-C, HTML, JavaScript, or other code;
- decompile, disassemble, decrypt, reverse engineer, or attempt to derive the source code of any part of the Services except where applicable law expressly permits it;
- use a buying agent or purchasing agent to make purchases through the Services;
- collect usernames, email addresses, or other user information for unsolicited messages or create accounts through automated means or false pretenses;
- use the Services or their content to compete with us or for any revenue-generating activity that we have not authorized.
5. Prohibited Uses for Facial Search
In addition to the restrictions above, you specifically agree that you will not use Kepo's photo or facial similarity search features to:
- harass, stalk, threaten, intimidate, or target any individual;
- upload or search photos of anyone under 18 years old;
- make or support decisions about employment, housing, credit, insurance, education, or similar eligibility matters;
- engage in blackmail, extortion, unlawful surveillance, or any other illegal activity;
- identify, profile, or target people for discriminatory purposes;
- violate a person's reasonable expectation of privacy;
- confront or approach individuals who may present a risk to you or others;
- bypass or undermine privacy settings on social media platforms or other websites;
- create databases, dossiers, or compiled records about individuals without consent;
- use search results in a way that violates applicable law;
- upload photos that you do not have the right to use;
- use the feature for surveillance, tracking, or monitoring that is not lawful.
Violation of these restrictions may result in immediate suspension or termination of your access to the Services without refund.
6. Facial Search Disclaimer
Kepo may provide access to third-party facial or visual similarity search services. Kepo operates as an interface for submitting a photo and receiving similarity results, in a manner comparable to reverse image search tools.
Kepo does not compile, index, or store public data. Kepo does not build profiles or databases of individuals, scrape social media or other websites, or verify the identity of people shown in search results.
When you use this feature:
- you submit a photo through Kepo;
- the photo is sent to a third-party facial or image similarity search provider;
- the provider performs visual similarity analysis using sources available to it;
- the results are returned and displayed through Kepo.
Kepo does not retain uploaded photos. The third-party provider temporarily processes the photo and is expected to delete it within 24 hours, subject to that provider's own terms and privacy practices.
We do not guarantee that search results will be accurate, complete, relevant, available, or suitable for your needs. We do not verify identities in results, control what third-party providers index, control how third-party providers process data, or accept responsibility for third-party services.
By using the facial or visual similarity search features, you acknowledge that:
- results may be incorrect, outdated, incomplete, or irrelevant;
- seeing a photo in results does not confirm a person's identity;
- you alone are responsible for how you use search results;
- misuse of the feature may violate laws in your jurisdiction;
- results come from third-party or publicly available sources, not from a Kepo-owned database;
- we do not control the accuracy, availability, or legality of third-party results.
Search results are provided "as is" without any warranty of accuracy, completeness, reliability, or fitness for a particular purpose.
7. User Generated Contributions
The Services may not currently allow users to publicly post content. However, we may provide features that let you create, submit, upload, display, transmit, publish, distribute, or send content or materials to us or through the Services. This may include text, writing, audio, video, photos, graphics, comments, suggestions, personal information, or other materials ("Contributions").
Contributions may be visible to other users or through third-party websites depending on the feature used. Contributions are handled in accordance with our Privacy Policy where applicable.
When you provide Contributions, you represent and warrant that:
- your Contributions and our permitted use of them will not infringe any third party's copyright, patent, trademark, trade secret, moral rights, privacy rights, publicity rights, or other proprietary rights;
- you own the Contributions or have all licenses, permissions, consents, and releases needed to submit them and allow their use as contemplated by the Services and these terms;
- you have written consent from each identifiable person shown or named in your Contributions where such consent is required;
- your Contributions are truthful, accurate, and not misleading;
- your Contributions are not unsolicited advertising, promotional materials, spam, chain letters, pyramid schemes, mass mailings, or other solicitations;
- your Contributions are not obscene, violent, harassing, defamatory, threatening, abusive, or otherwise objectionable as determined by us;
- your Contributions do not mock, intimidate, disparage, or abuse anyone;
- your Contributions are not used to harass, threaten, or encourage violence against any person or group;
- your Contributions do not violate any law, regulation, or rule;
- your Contributions do not violate the privacy or publicity rights of another person;
- your Contributions do not involve child sexual abuse material, child exploitation, or content that harms minors;
- your Contributions do not include offensive comments tied to race, national origin, gender, sexual orientation, disability, or other protected characteristics;
- your Contributions do not otherwise violate these terms or link to material that violates these terms.
Any use of the Services that violates these requirements may result in suspension or termination of your rights to use the Services.
8. Contribution License
You agree that we may access, store, process, and use information and personal data you provide in accordance with our Privacy Policy and your available choices or settings.
If you send us ideas, suggestions, comments, feedback, or other recommendations about the Services, you agree that we may use and share that feedback for any purpose without compensation or obligation to you.
We do not claim ownership of your Contributions. You retain ownership of your Contributions and any related intellectual property rights. You are solely responsible for your Contributions, and you agree that we are not responsible for statements, claims, or materials you provide through the Services.
9. Mobile Application License
If you access the Services through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the application on devices that you own or control, solely in accordance with these terms.
You may not:
- decompile, reverse engineer, disassemble, decrypt, or attempt to derive source code from the application except where applicable law expressly permits it;
- modify, adapt, improve, translate, or create derivative works from the application;
- violate any law or regulation in connection with your access to or use of the application;
- remove, alter, or obscure copyright, trademark, or other proprietary notices;
- use the application for revenue-generating activity, commercial enterprise, or any purpose for which it was not designed;
- make the application available over a network or environment that allows multiple devices or users to access it at the same time unless expressly permitted;
- use the application to create a competing or substitute product, service, or software;
- send automated queries or unsolicited commercial email through the application;
- use our proprietary information, interfaces, or intellectual property to design, develop, manufacture, license, or distribute applications, accessories, or devices for use with the application.
Apple and Android Devices
If you download the application through the Apple App Store, Google Play, or another app distributor, the following additional terms apply:
- your license is limited to using the application on a device running the applicable Apple iOS, Android, or other supported operating system and in accordance with the app distributor's usage rules;
- we are responsible for maintenance and support only as described in these terms or as required by law, and app distributors have no obligation to provide support or maintenance;
- if the application fails to conform to an applicable warranty, you may notify the relevant app distributor, and that distributor may refund the purchase price if required by its policies or applicable law;
- to the maximum extent allowed by law, app distributors have no other warranty obligation for the application;
- you represent that you are not located in a country subject to a U.S. government embargo or designated by the U.S. government as supporting terrorism, and that you are not on a U.S. government list of prohibited or restricted parties;
- you must comply with applicable third-party agreement terms when using the application;
- app distributors are third-party beneficiaries of this mobile application license and may enforce these terms against you where applicable.
10. Submissions
Any questions, comments, suggestions, ideas, feedback, or other information you send to us about the Services ("Submissions") will be treated as non-confidential and may become our property.
We may use, reproduce, disclose, publish, distribute, and otherwise exploit Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. You waive any moral rights you may have in those Submissions to the extent permitted by law.
You represent that your Submissions are original to you or that you have the right to provide them. You agree that you will not bring a claim against us based on our use of your Submissions.
11. Third-Party Websites and Content
The Services may contain links to third-party websites or may display content from third parties, including articles, photographs, text, graphics, designs, music, audio, video, information, applications, software, or other materials.
We do not control, investigate, monitor, verify, or endorse third-party websites or third-party content. We are not responsible for their accuracy, completeness, legality, reliability, offensiveness, opinions, privacy practices, terms, policies, products, services, or actions.
If you leave the Services to access a third-party website or use third-party content, you do so at your own risk. These Terms and Conditions no longer govern that third-party environment. You should review the terms and privacy policies of any third-party website, application, or service you use.
Kepo uses third-party APIs to provide facial or visual similarity search features. By using those features, you understand that third-party services may process submitted photos and return results under their own terms and privacy policies. We are not responsible for the practices, policies, availability, content, or actions of those third-party providers.
Search results may include content from third-party websites and sources. We do not control or endorse that content, guarantee that it will remain available, verify third-party information, or accept responsibility for third-party websites.
Any purchases or transactions you make through third-party websites are solely between you and the applicable third party. We do not endorse third-party products or services and are not responsible for loss, harm, or disputes arising from third-party websites, content, products, services, or interactions.
12. Site Management
We reserve the right, but are not required, to:
- monitor the Services for violations of these terms;
- take appropriate action against anyone who violates the law or these terms, including reporting conduct to law enforcement;
- refuse, restrict, limit, or disable access to any Contributions or portion of the Services at our discretion;
- remove or disable files and content that are excessive, burdensome, or otherwise problematic for our systems;
- manage the Services in a way that protects our rights, property, users, and operations.
13. Privacy Policy
We care about privacy and data security. Please review our Privacy Policy, which is incorporated into these Terms and Conditions by reference.
By using the Services, you agree to the practices described in the Privacy Policy. If you access the Services from a region with different data protection requirements, you understand that your information may be transferred to and processed in locations where we or our service providers operate.
We do not knowingly solicit, request, or market to children under 13. If we learn that a child under 13 has provided personal information without required verifiable parental consent, we will delete that information as quickly as reasonably practicable.
14. Term and Termination
These Terms and Conditions remain in effect for as long as you use the Services.
Without limiting any other provision of these terms, we may deny access to or use of the Services, including by blocking certain IP addresses, to any person for any reason or no reason, at our sole discretion and without notice or liability. This includes where we believe a user has breached these terms, violated any representation or warranty, or violated applicable law.
We may terminate your access, suspend your account, or remove content or information you posted at any time and without warning.
If your account is suspended or terminated, you may not create a new account under your own name, a false name, a borrowed name, or the name of any third party, even if acting on that third party's behalf. We may also pursue legal remedies, including civil, criminal, or injunctive relief.
15. Modifications and Interruptions
We may change, modify, remove, suspend, or discontinue all or part of the Services at any time, for any reason, and without notice. We have no obligation to update information within the Services.
We cannot guarantee that the Services will always be available. Hardware issues, software issues, maintenance, outages, updates, or other events may cause interruptions, delays, or errors.
You agree that we are not liable for loss, damage, or inconvenience caused by your inability to access or use the Services during downtime, suspension, modification, or discontinuance. Nothing in these terms requires us to maintain, support, correct, update, or release any part of the Services.
16. Governing Law
These Terms and Conditions are governed by the laws of the United Kingdom, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.
If you are a consumer habitually residing in the European Union, you may also have the protection of mandatory laws in your country of residence.
You and we agree to submit to the non-exclusive jurisdiction of the courts identified for disputes under these terms. This means you may be able to bring a claim to protect consumer rights in the United States or in the country where you reside, where applicable law allows.
17. Dispute Resolution
Informal Negotiations
To reduce time and cost, you and we agree to first try to resolve any dispute, controversy, or claim related to these terms informally for at least thirty (30) days before starting arbitration, except for disputes excluded below.
Informal negotiations begin when one party sends written notice of the dispute to the other party.
Binding Arbitration
Any dispute arising from the relationship between the parties under these terms will be decided by one arbitrator selected under the Arbitration and Internal Rules of the European Court of Arbitration, part of the European Centre of Arbitration seated in Strasbourg, as those rules exist when arbitration is filed.
The seat of arbitration will be London, United Kingdom. The language of the proceedings will be English. The substantive law will be the law of the United Kingdom.
Restrictions
Arbitration will be limited to the dispute between you and us individually. To the fullest extent permitted by law:
- no arbitration may be joined with another proceeding;
- no dispute may be arbitrated on a class-action basis or using class-action procedures;
- no dispute may be brought in a representative capacity on behalf of the public or any other person.
Exceptions
The informal negotiation and arbitration requirements do not apply to:
- disputes seeking to enforce, protect, or determine the validity of intellectual property rights;
- disputes involving allegations of theft, piracy, invasion of privacy, or unauthorized use;
- claims seeking injunctive relief.
If any part of this dispute resolution section is found unlawful or unenforceable, the affected dispute will be decided by a court of competent jurisdiction, and the parties agree to submit to that court's personal jurisdiction.
18. Corrections
The Services may contain typographical errors, inaccuracies, omissions, or outdated information, including descriptions, pricing, availability, or other details. We may correct, update, or change information on the Services at any time without prior notice.
19. Disclaimer
The Services are provided on an "as is" and "as available" basis. Your use of the Services is at your sole risk.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use of them, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant or represent that the Services, their content, linked websites, or third-party content will be accurate, complete, reliable, secure, available, uninterrupted, error-free, or free from harmful components.
We assume no responsibility or liability for:
- errors, mistakes, omissions, or inaccuracies in content or materials;
- personal injury or property damage resulting from access to or use of the Services;
- unauthorized access to or use of secure servers or any personal or financial information stored through them;
- interruption or cessation of transmission to or from the Services;
- bugs, viruses, Trojan horses, or similar harmful materials transmitted by third parties;
- loss or damage arising from the use of content posted, transmitted, or made available through the Services.
We do not warrant, endorse, guarantee, or assume responsibility for products or services advertised or offered by third parties through the Services, linked websites, banners, or other advertising. We are not responsible for monitoring transactions between you and third-party providers. Use your judgment and caution when dealing with third parties.
Facial or visual similarity search results are provided "as is" without any warranty of accuracy, completeness, reliability, or fitness for a particular purpose. We do not verify identities in results or accept responsibility for how third-party search providers handle data.
20. Limitations of Liability
To the fullest extent permitted by law, we and our directors, employees, agents, affiliates, and partners will not be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, punitive, or similar damages, including lost profits, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised that such damages are possible.
Regardless of the form of action, our total liability to you for any cause will be limited to the amount you paid to us, if any, during the zero (0) month period before the cause of action arose.
Some laws do not allow limitations on implied warranties or exclusions or limitations of certain damages. If those laws apply to you, some of the limitations above may not apply, and you may have additional rights.
We are not liable for actions you take based on facial or visual similarity search results, the conduct of third parties or third-party services, or interactions with individuals identified or suggested through the Services.
21. Indemnification
You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, officers, agents, partners, and employees, from and against any loss, damage, liability, claim, demand, cost, or expense, including reasonable attorneys' fees, arising from or related to:
- your use of the Services;
- your breach of these terms;
- your breach of any representation or warranty in these terms;
- your violation of a third party's rights, including intellectual property rights;
- any harmful act toward another user connected through the Services;
- your misuse of facial or visual similarity search features or results.
We may assume exclusive defense and control of any matter subject to indemnification at your expense, and you agree to cooperate with our defense. We will use reasonable efforts to notify you of any claim, action, or proceeding that is subject to indemnification once we become aware of it.
22. User Data
We may maintain certain data you transmit to the Services and data related to your use of the Services for operational, performance, and management purposes.
Although we may perform routine backups, you are responsible for the data you transmit and for activity associated with your use of the Services. You agree that we are not liable for loss or corruption of such data, and you waive any claim against us arising from that loss or corruption.
Photos uploaded for facial or visual similarity searches are not retained by Kepo. They are sent to a third-party API for processing and are expected to be deleted within 24 hours, subject to that provider's own practices.
23. Electronic Communications, Transactions, and Signatures
Visiting the Services, sending emails, and completing online forms are electronic communications. You consent to receive electronic communications from us and agree that agreements, notices, disclosures, policies, and other communications we provide electronically satisfy any legal requirement that such communication be in writing.
You agree to the use of electronic signatures, contracts, orders, notices, policies, records, and transaction documents. You waive any rights or requirements under laws that require original signatures, non-electronic records, or non-electronic delivery, retention, payment, or credit methods, to the extent permitted by law.
24. California Users and Residents

25. Miscellaneous
These Terms and Conditions and any policies or operating rules posted by us in connection with the Services make up the entire agreement between you and us.
Our failure to exercise or enforce any right or provision of these terms is not a waiver of that right or provision. These terms operate to the fullest extent permitted by law. We may assign any or all of our rights and obligations at any time.
We are not responsible for loss, damage, delay, or failure to act caused by events beyond our reasonable control.
If any provision, or part of a provision, is found unlawful, void, or unenforceable, that provision or part will be treated as severable and will not affect the validity or enforceability of the remaining provisions.
No joint venture, partnership, employment, or agency relationship is created between you and us by these terms or your use of the Services.
You agree that these terms will not be interpreted against us simply because we drafted them. You waive defenses based on the electronic form of these terms or the lack of physical signatures.
By using the Services, you also affirm that you are 18 years old or older where required for the specific feature you use, and that you will use Kepo responsibly and in compliance with all laws, regulations, and policies that apply in your jurisdiction.
You accept full legal responsibility for consequences arising from unlawful use or non-compliance connected to your use of the Services. You agree that those consequences are yours alone and that you will not seek recourse against Kepo or Nansha Digital for your unlawful or non-compliant use.
You acknowledge that Kepo makes no warranty regarding the accuracy or completeness of information or results available through the Services.
To the fullest extent permitted by law, you release and waive claims against Kepo, Nansha Digital, and their parent companies, subsidiaries, affiliates, owners, stakeholders, officers, directors, employees, agents, and representatives for claims, actions, demands, liabilities, damages, losses, costs, expenses, lawsuits, judgments, and proceedings arising from or connected with the content, data, or services provided by or associated with Kepo.
If you do not agree with these Terms and Conditions, you are not permitted to use the Services and must stop using them immediately.
